Acceptance of Agreement

This Distribution Agreement ("Agreement") constitutes a legally binding agreement between you ("User", "Artist", "you", or "your") and AETC LLC ("Company", "we", "us", or "our"), governing your use of music distribution services provided through Trend My Song ("TMS", "Platform", or "Service").

By using the distribution services, uploading music for distribution, or submitting any release through the Platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement and the Terms of Service. If you do not agree, you must not use the distribution services.

This Agreement is supplemental to and incorporated into the Trend My Song Terms of Service. In the event of any conflict between this Agreement and the Terms of Service, this Agreement shall govern with respect to distribution services.

01Distribution Services

1.1 Service Description

Trend My Song provides digital music distribution services that enable you to distribute your music to third-party digital streaming platforms ("DSPs") and online music stores, including but not limited to:

1.2 Nature of Service

Specifically, we do not:

• Own, control, or manage your music
• Guarantee acceptance, placement, or promotion by any DSP
• Control how DSPs display, promote, or monetize your content
• Guarantee any specific streaming numbers, chart positions, or revenue outcomes

1.3 Distribution Process

Upon submission of a release through the Platform:

• Your music and metadata will be processed and formatted according to DSP requirements
• Your release will be delivered to the DSPs you have selected
• Processing and delivery times vary by DSP and are subject to their acceptance policies
• We will notify you of delivery status through your Platform dashboard

1.4 Credit-Based Pricing

Distribution services are credit-based. The cost in credits for each distribution action is displayed in your account dashboard and may include:

• Initial distribution to DSPs
• Updates or modifications to existing releases
• Takedown requests
• Re-delivery of content

Credit pricing is subject to change at any time as outlined in the Terms of Service.

02Rights and Licenses

2.1 Your Representations and Warranties

By submitting music for distribution, you represent and warrant that:

• You own or control 100% of the rights to the master recording and the underlying musical composition (lyrics and melody)
• You have obtained all necessary licenses, permissions, clearances, and consents from all rights holders, including but not limited to:
  • Co-writers and composers
  • Featured artists and performers
  • Producers and engineers
  • Sample owners and publishers
  • Any other rights holders
• Your music does not infringe upon any copyright, trademark, or other intellectual property rights of any third party
• Your music does not contain unlicensed samples, interpolations, or covers without proper mechanical licenses
• All metadata provided (artist names, song titles, songwriter credits, ISRC codes, etc.) is accurate and complete
• You have the full legal authority to enter into this Agreement and grant the licenses described herein

2.2 License Grant to AETC LLC / Trend My Song

You hereby grant to AETC LLC and Trend My Song a non-exclusive, worldwide, royalty-free license to:

• Store, reproduce, encode, and process your music and associated metadata
• Distribute, transmit, and deliver your music to DSPs and digital music services
• Display your music, artwork, and metadata on the Platform and in connection with the distribution services
• Use your artist name, likeness, and biographical information solely for the purpose of promoting and facilitating the distribution services
• Make reproductions and derivative works solely as necessary to fulfill technical requirements of DSPs (e.g., format conversions, encoding)

2.3 License Grant to DSPs

You acknowledge and agree that by distributing your music through the Platform, you are granting DSPs the licenses necessary for them to:

• Stream, reproduce, and distribute your music on their platforms
• Display your music, artwork, and metadata to their users
• Generate and distribute promotional content featuring your music
• Exercise other rights as outlined in each DSP's terms of service

You are responsible for reviewing and accepting the terms of service of each DSP to which you distribute.

2.4 Territory

Unless otherwise specified in your distribution settings, your music will be distributed worldwide to all available territories where the selected DSPs operate.

2.5 Term of License

The licenses granted in this Agreement remain in effect for as long as your music remains distributed through the Platform, and for a reasonable period thereafter to allow for final reporting and payment processing.

03Content Requirements and Restrictions

3.1 Quality Standards

All music submitted for distribution must meet the following minimum requirements:

• Audio files must meet DSP technical specifications (typically high-quality WAV or FLAC files)
• Artwork must meet minimum resolution and format requirements as specified in the Platform
• Metadata must be complete and accurate
• Content must be free from technical defects, distortion, or quality issues

3.2 Prohibited Content

You may not distribute any content that:

• Infringes on third-party intellectual property rights
• Contains unlicensed samples, covers, or interpolations
• Violates any applicable laws or regulations
• Contains hate speech, discriminatory content, or incitement to violence
• Promotes illegal activities or harmful behavior
• Contains explicit sexual content without proper labeling
• Impersonates or misrepresents affiliation with another artist or entity
• Violates DSP content policies

3.3 AI-Generated Content Disclosure

If your music contains AI-generated content, you must:

• Clearly disclose this information in your release settings on the Platform dashboard
• Comply with all DSP policies regarding AI-generated content
• Ensure you have the legal right to use and distribute any AI-generated content

3.4 Cover Songs and Public Domain Works

If you are distributing a cover song or arrangement of a public domain work:

• You are solely responsible for obtaining all necessary mechanical licenses (e.g., through services like Harry Fox Agency or Easy Song Licensing)
• You must provide proof of licensing if requested
• You must accurately credit the original songwriter(s) and publisher(s)
• We are not responsible for obtaining licenses on your behalf

3.5 Metadata Accuracy

You are responsible for ensuring all metadata is accurate. Inaccurate metadata may result in delayed payments, incorrect royalty splits, or removal of content by DSPs.

04Revenue and Royalties

4.1 Revenue Share

You will receive 100% of the net revenue generated by your music on DSPs after DSP fees and deductions. "Net revenue" means the amounts actually received by AETC LLC from DSPs, after DSPs have deducted their platform fees, processing fees, and any other charges.

4.2 DSP Payment Terms

• DSPs pay royalties according to their own payment schedules, typically 60–90 days after the end of each reporting period
• We will pay you after we receive payment from the DSPs and have completed our accounting processes
• Payments are typically made on a monthly or quarterly basis once minimum payout thresholds are met
• Minimum payout thresholds are displayed in your account dashboard

4.3 Payment Methods

Payments will be made through the payment methods available on the Platform, which may include:

• Bank transfer / ACH
• PayPal
• Wire transfer
• Other methods as made available

You are responsible for providing accurate payment information and for any fees charged by the payment provider.

4.4 Reporting

You will have access to revenue reports and analytics through your Platform dashboard, including:

• Streaming and download statistics by DSP
• Revenue breakdowns by territory and platform
• Historical performance data

Reports are provided for informational purposes. We are not responsible for any inaccuracies in data provided by DSPs.

4.5 Currency and Taxes

• Payments may be made in USD or other currencies as available
• You are solely responsible for all taxes, including income tax, VAT, and any other applicable taxes on royalties received
• We may be required to withhold taxes as required by law

4.6 Disputed Payments

We will investigate and work with DSPs to resolve any discrepancies within the dispute window.

05Content Management

5.1 Updates and Modifications

You may request updates to distributed releases, including:

• Metadata corrections
• Artwork changes
• Audio file replacements (in limited circumstances)

Updates are subject to credit charges and DSP approval. Not all changes can be made after initial distribution, and some changes may require a takedown and re-upload.

5.2 Takedowns

You may request takedown of your music from DSPs at any time through the Platform. Takedown requests:

• May be subject to credit charges
• Take time to process (typically 1–5 business days, but may vary by DSP)
• Are irreversible once processed
• Do not guarantee removal from all user-generated content or cached versions

5.3 DSP-Initiated Removals

DSPs reserve the right to remove your content at any time for violations of their terms of service, including but not limited to:

• Copyright infringement
• Content policy violations
• Fraudulent streaming activity
• Technical quality issues

If a DSP removes your content, we will notify you when possible, but we are not liable for DSP actions or decisions.

5.4 Fraudulent Activity

You agree not to engage in or facilitate any fraudulent activity, including but not limited to:

• Artificial streaming or botting
• Stream manipulation schemes
• Playlist manipulation or payola
• Click farms or fake engagement

06Intellectual Property Claims

6.1 Copyright Infringement Claims

If we receive a valid copyright infringement claim regarding your music:

• We will notify you of the claim
• Your content may be immediately taken down pending resolution
• You will have the opportunity to respond with a counter-notice
• Repeated infringement claims may result in termination of distribution services

6.2 Your Indemnification Obligations

07Term and Termination

7.1 Term

This Agreement begins when you first use the distribution services and continues until terminated by either party.

7.2 Termination by You

You may terminate this Agreement at any time by requesting takedown of all distributed content through the Platform, ceasing to use distribution services, or closing your account as outlined in the Terms of Service.

Upon termination:

• You must request takedown of all content or your content may remain live on DSPs
• You will remain entitled to royalties earned prior to takedown
• You will remain bound by the indemnification and liability provisions

7.3 Termination by Us

We may terminate your access to distribution services immediately and without notice if you violate this Agreement or the Terms of Service, engage in fraudulent activity, upload infringing or prohibited content, or your account is terminated for any reason outlined in the Terms of Service.

7.4 Effect of Termination

Upon termination:

• The licenses granted to AETC LLC will terminate, except as necessary to wind down services and complete final payments
• You remain responsible for any outstanding credits owed or claims pending
• Provisions that by their nature should survive will remain in effect

08Disclaimers and Limitations

8.1 No Guarantees

We do not guarantee:

• Acceptance of your music by any DSP
• Placement, promotion, or visibility on DSPs
• Any specific amount of streams, downloads, or revenue
• Timing of payments from DSPs
• Availability or continuity of any particular DSP

8.2 DSP Policies

Each DSP has its own terms of service, content policies, and payment terms. You are responsible for complying with all DSP requirements. We are not responsible for:

• Changes to DSP policies or payment terms
• DSP decisions regarding content acceptance, removal, or promotion
• Technical issues or downtime at DSPs
• Delays in payments from DSPs

8.3 Limitation of Liability

In addition to the limitations outlined in the Terms of Service, we are not liable for:

• Lost revenue due to delayed distribution, DSP removals, or technical issues
• Disputes between you and collaborators regarding credits or royalty splits
• Inaccurate data or reporting provided by DSPs
• Tax liabilities or withholdings

09General Provisions

9.1 Relationship to Terms of Service

This Distribution Agreement is supplemental to the Trend My Song Terms of Service. All provisions of the Terms of Service apply to your use of distribution services unless specifically modified by this Agreement.

9.2 Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and AETC LLC regarding distribution services.

9.3 Amendments

We may modify this Agreement at any time. Continued use of distribution services after changes are posted constitutes acceptance of the modified Agreement.
